Welcome to ArdhiHome. By accessing or using our platform, you agree to be bound by these Terms and Conditions. Please read them carefully before using our services.
"Platform" refers to the ArdhiHome website, mobile applications, and all related services.
"User" refers to any individual or entity accessing or using the Platform.
"Realtor" refers to licensed real estate agents or brokers registered on the Platform.
"Property Seeker" refers to users searching for properties on the Platform.
"Listing" refers to any property advertised on the Platform.
"Transaction" refers to any sale, lease, or rental agreement facilitated through the Platform.
Important: Commission Obligation
By listing properties on ArdhiHome, Realtors agree to the following commission structure.
2.1 Platform Commission: Realtors agree to pay ArdhiHome a commission of two percent (2%) of the total transaction value for any property sale completed through leads generated via the Platform.
2.2 Commission Trigger: The commission obligation is triggered when:
- A property listed on ArdhiHome is sold to a buyer who initially contacted the Realtor through the Platform
- The Realtor marks the property as "Sold" on the Platform
- A transaction is completed within 12 months of the initial Platform-facilitated contact
2.3 Payment Terms: Commission payment is due within 30 days of transaction completion. Payment shall be made via bank transfer or mobile money to ArdhiHome's designated accounts.
2.4 Attestation: By registering as a Realtor on ArdhiHome, you acknowledge and agree that:
- You will accurately report all sales facilitated through Platform leads
- You will pay the 2% commission within the specified timeframe
- Failure to comply may result in account suspension and legal action
3.1 Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Kenya.
3.2 Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya, specifically the Commercial Court in Nairobi.
3.3 Enforcement: ArdhiHome reserves the right to pursue legal remedies under Kenyan law for any breach of these Terms, including but not limited to:
- Recovery of unpaid commissions plus interest at the prevailing Central Bank of Kenya rate
- Legal costs and attorney fees
- Damages for breach of contract
3.4 Compliance: Users agree to comply with all applicable Kenyan laws, including the Estate Agents Act (Cap 533), the Data Protection Act 2019, and the Consumer Protection Act 2012.
4.1 Account Accuracy: Users must provide accurate, current, and complete information during registration and maintain the accuracy of such information.
4.2 Realtor Verification: Realtors must hold valid licenses from the Estate Agents Registration Board (EARB) of Kenya and provide proof of licensure upon request.
4.3 Listing Accuracy: Realtors are responsible for ensuring all property listings are accurate, not misleading, and comply with Kenyan advertising standards.
4.4 Prohibited Activities: Users shall not:
- Post fraudulent or misleading listings
- Circumvent the Platform to avoid commission payments
- Use the Platform for money laundering or other illegal activities
- Harass or discriminate against other users
- Violate intellectual property rights
5.1 Service Description: ArdhiHome provides a platform connecting property seekers with licensed realtors in Kenya. We facilitate property discovery, comparison data (comps), and communication between parties.
5.2 No Guarantee: ArdhiHome does not guarantee the sale of any property or the accuracy of market data. All property valuations and comparisons are for informational purposes only.
5.3 Third-Party Services: The Platform may integrate with third-party services. ArdhiHome is not responsible for the availability, accuracy, or reliability of such services.
5.4 Modifications: ArdhiHome reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.
6.1 Data Collection: ArdhiHome collects and processes personal data in accordance with the Kenya Data Protection Act 2019. By using the Platform, you consent to such collection and processing.
6.2 Data Usage: Your data may be used to provide services, improve the Platform, communicate with you, and comply with legal obligations.
6.3 Data Security: We implement appropriate technical and organizational measures to protect your personal data against unauthorized access, alteration, or destruction.
6.4 User Rights: Under the Data Protection Act, you have the right to access, correct, or delete your personal data. Contact us at [email protected] to exercise these rights.
7.1 Platform Liability: ArdhiHome shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
7.2 Transaction Disputes: ArdhiHome is not a party to any transaction between users. Disputes between buyers, sellers, and realtors must be resolved directly between the parties.
7.3 Maximum Liability: In no event shall ArdhiHome's total liability exceed the amount of fees paid by you to ArdhiHome in the twelve (12) months preceding the claim.
8.1 User Termination: You may terminate your account at any time by contacting [email protected]. Outstanding commission obligations survive termination.
8.2 Platform Termination: ArdhiHome may suspend or terminate your account for violation of these Terms, fraudulent activity, or any other reason at our sole discretion.
8.3 Effect of Termination: Upon termination, your right to use the Platform ceases immediately. Sections regarding commission obligations, governing law, and limitation of liability survive termination.
